Terms of Service

Please read these terms carefully before using The Scholar platform.

1. Acceptance of Terms

By accessing or using The Scholar platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and The Scholar. By using our Service, you represent that you have the legal capacity to enter into these Terms, or if you are under 18, that you have obtained parental or guardian consent and are using the Service under adult supervision.

Educational Use: The Scholar is designed to support learning environments. Users under 18 must have parental/guardian consent and appropriate adult supervision.

Important: These Terms incorporate our Privacy Policy by reference. Please review our Privacy Policy, which also governs your use of the Service.

2. Description of Service

The Scholar is a collaborative platform that provides tools for real-time document creation, editing, and sharing among teams and individuals. Our Service includes:

  • School-specific tools and monitoring capabilities

Educational Focus: The Scholar is specifically designed to support learning in high schools, junior high schools, and other educational institutions, with features tailored for collaborative learning and project-based education.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable laws.

3. User Eligibility and Account Registration

General Eligibility Requirements

To use our Service, you must:

  • Have the legal capacity to enter into binding agreements, or
  • If under 18, have parental or guardian consent and adult supervision
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information
  • Agree to comply with these Terms and our community guidelines

Educational Use and Minors

The Scholar is designed to support educational environments and welcomes users of all ages when used appropriately:

  • Adult Users (18+): Full access to all platform features
  • Minors (13-17): Access with parental/guardian consent and supervision
  • Educational Institutions: Schools may create managed accounts for students
  • Parental Controls: Parents/guardians can monitor and control minor accounts

Parental Responsibility: Parents and guardians are responsible for monitoring their children's use of the Service and ensuring compliance with these Terms.

School and Institutional Accounts

Educational institutions may establish accounts for their students and staff:

  • Schools can create managed workspaces for classes and projects
  • Teachers and administrators have oversight and moderation capabilities
  • Student accounts require school approval and monitoring
  • Educational content and collaboration tools are optimized for learning

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. For minor accounts, parents/guardians share this responsibility.

4. User Conduct and Content Guidelines

You agree to use the Service in accordance with applicable laws and these Terms. You are solely responsible for your conduct and any content you create, upload, or share.

Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, post, or share harmful, offensive, or illegal content
  • Impersonate others or provide false information
  • Attempt to gain unauthorized access to our systems
  • Distribute malware, viruses, or harmful code

Content Standards

All content must comply with our community guidelines and applicable laws, including but not limited to: copyright laws, defamation laws, and regulations prohibiting hate speech, harassment, and illegal content.

The Scholar is specifically designed to support educational institutions and learning activities:

  • Classroom project management and group work features
  • Educator oversight and content moderation capabilities
  • Age-appropriate content filtering and safety measures
  • Integration with educational standards and curricula

Adult Supervision Requirements

For users under 18, adult supervision is required:

  • Parental or guardian consent must be obtained before account creation
  • Teachers or school administrators may supervise student accounts
  • Parents/guardians retain the right to monitor and control minor accounts
  • Educational institutions may implement additional monitoring policies
  • Supervisors are responsible for ensuring appropriate use

School Account Management

Schools and educational institutions have enhanced management capabilities:

  • Create and manage class-specific workspaces
  • Monitor student activity and collaboration
  • Control content access and sharing permissions
  • Access educational analytics and progress reports
  • Implement school-specific acceptable use policies

Content and Safety Standards

Additional safety measures for educational use include age-appropriate content filtering, bullying prevention tools, and reporting mechanisms for inappropriate content. We work with educational institutions to maintain a safe learning environment.

6. Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are owned by The Scholar and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content

You retain ownership of content you create or upload to the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

  • Host, store, and process your content to provide the Service
  • Display your content to other authorized users
  • Make technical copies as necessary for backup and security
  • Use anonymized data for analytics and service improvement

DMCA and Copyright Policy

7. Privacy and Data Protection

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your right to use the Service ceases immediately.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms or applicable laws
  • Fraudulent or illegal activity
  • Non-payment of fees (if applicable)
  • Prolonged inactivity
  • At our sole discretion for any other reason

Upon termination, we may delete your account and content in accordance with our data retention policies.

10. Disclaimers and Limitations of Liability

Service Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, whether express or implied, including:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Uninterrupted or error-free operation
  • Accuracy, reliability, or completeness of content
  • Security or privacy of your data
  • Compatibility with your devices or systems

Limitation of Liability

To the maximum extent permitted by applicable law, The Scholar shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

Section 230 Compliance: Under US law (47 U.S.C. § 230), we are not liable for user-generated content. We do not monitor or control user content but reserve the right to remove content that violates these Terms.

11. Indemnification

You agree to defend, indemnify, and hold harmless The Scholar, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload or share
  • Your violation of applicable laws

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

12. Governing Law and Jurisdiction

UK Users

For users in the United Kingdom, these Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

US Users

For users in the United States, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the federal or state courts of Delaware.

International Users

For users outside the UK and US, these Terms are governed by the laws of England and Wales, and you agree to submit to the exclusive jurisdiction of the English courts.

Notwithstanding the above, you may also bring proceedings in your local jurisdiction if required by applicable law.

13. Dispute Resolution

We encourage you to contact us first to resolve any disputes informally. If we cannot resolve a dispute, it will be resolved through binding arbitration or court proceedings as follows:

Arbitration

For disputes over $10,000, we agree to resolve the dispute through binding arbitration administered by the American Arbitration Association or similar organization, under the rules applicable in your jurisdiction.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

This dispute resolution provision survives termination of these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date
  • Notify you via email or platform notification
  • Provide a summary of changes
  • Give you 30 days to review the changes

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

15. Severability and Entire Agreement

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Scholar regarding your use of the Service and supersede all prior agreements.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
